  1. SmartFTP License Agreement
  2.  
  3. SMARTFTP END-USER LICENSE AGREEMENT
  4. AGREEMENT VERSION 1.0
  5.  
  6. IMPORTANT-READ CAREFULLY: This SmartFTP End-User License Agreement ("EULA") is a
  7. legal agreement between you (either an individual or a single entity) and 
  8. SmartSoft Ltd. for the SOFTWARE(s) identified above, which includes the User's
  9. Guide, any associated SOFTWARE components, any media, any printed materials
  10. other than the User's Guide, and any "online" or electronic documentation
  11. ("SOFTWARE"). By installing, copying, or otherwise using the SOFTWARE, you agree
  12. to be bound by the terms of this EULA. If you do not agree to the terms of this
  13. EULA, do not install or use the SOFTWARE. If the SOFTWARE was mailed to you,
  14. return the media envelope along with the rest of the package to the location
  15. where you obtained it within 30 days from purchase.

  17. 1. DEFINITIONS
  18.  
  19. "non-commercial entity" is defined as any individual, educational institution, 
  20.   charity or humanitarian organization.
  21.  
  22. "commercial entity" is defined as any corporation registered or otherwise that 
  23.   derives or attempts to derive substantial commercial and monetary gain and 
  24.   benefit from its efforts and endeavors. This includes all Government and 
  25.   Military entities.
  26.  
  27. "personal use" means the non-commercial use of SmartFTP in your
  28.   own home, with your own personal computer by you, your family or
  29.   by your close friends. The computer you use SmartFTP in must be
  30.   owned by you or by a member of your family, you are not allowed
  31.   to use an unlicensed version (after the evaluation period) of SmartFTP
  32.   in a computer owned by the company you work for.
  33.  
  34. "educational use" means the use of SmartFTP for educational purposes
  35.   in a non-commercial institution.
  36.  
  37. "Licensed version" means a version of SmartFTP that has been licensed 
  38.   for use by a "commercial or non-commercial entity". 
  39.   Licensed version is not free and you are not allowed to distribute it
  40.   in any ways.
  41.  
  42. "Unlicensed version" means the free version of SmartFTP that can only
  43.   be used by a non-commercial entity for personal, educational and 
  44.   non-commercial use. The one and only exception is during the evaluation
  45.   period in which the Software may also be used by a commercial entity.
  46.  
  47. "license" means the license you own. If you haven't bought a license
  48.   (i.e. the licensed version) you are bound by the restrictions of the
  49.   unlicensed version.
  50.  
  51. "license agreement" means this document. This license agreement is a
  52.   legal agreement between you (individual or a legal entity) and
  53.   SmartSoft Ltd..

  55. 2. The SOFTWARE is licensed, not sold.
  56.  
  57. 3. GRANT OF LICENSE. 
  58.  
  59.    1. Unlicensed version
  60.      Allows you to use SmartFTP in an unlimited amount of computers.
  61.  
  62.      Evaluation
  63.      A commercial entity may use the Software without charge for thirty (30)
  64.      days from the day that you install the Software. You must pay the license
  65.      fee and register your copy to continue to use the Software after the
  66.      thirty (30) day evaluation period. To pay the license fee and register
  67.      your copy, you should visit www.smartftp.com or an authorized sales agent.
  68.  
  69.    2. Licensed version
  70.      When you purchase a license you will be provided with a license key.
  71.      You should enter the license key as prompted by the Software. The licensed
  72.      Software may be used by the number of users indicated in your license
  73.      key and on our invoice. If the Software is installed on a  terminal/network
  74.      server or other storage device, you must purchase a license for each user
  75.      who use the Software. A license for the Software may not be shared by
  76.      alternating use of the Software between different users. 
  77.      
  78.      For each user a license has been purchased, one copy of the Software can be
  79.      made on his or her portable computer. You may also make one copy of the
  80.      Software for back-up or archival purposes. Otherwise, you may not copy the
  81.      Software in whole or in part.
  82.  
  83.      You may permanently transfer all of your rights under this license provided
  84.      you transfer all copies of the Software and the recipient agrees to the terms
  85.      of this license. 
  86.  
  87.      There are 2 basic types of licenses issued for SmartFTP, these are:
  88.  
  89.       a.  A SINGLE user license. The user purchases a single license for the
  90.           use of SmartFTP by a single user.
  91.  
  92.       b.  A MULTIPLE user license. The user purchases a single license for 
  93.           the use of SmartFTP, by the purchaser or the purchaser's employees.
  94.           The license can be used by the number of users the license was issued to.

  97. 4. DISTRIBUTION.  You are hereby licensed to make copies of the SOFTWARE as you
  98. wish; give exact copies of the original SOFTWARE to anyone; and distribute the
  99. SOFTWARE in its unmodified form via electronic means (Internet, BBS's, Shareware
  100. distribution libraries, CD-ROMs, etc.). You may charge a distribution fee for
  101. the package, but you must not represent in any way that you are selling the
  102. SOFTWARE itself. Your distribution of the SOFTWARE will not entitle you to any
  103. compensation from SmartSoft Ltd..  You must distribute a copy of this EULA
  104. with any copy of the SOFTWARE and anyone to whom you distribute the SOFTWARE is
  105. subject to this EULA.
  106.  
  107. 5. RESTRICTIONS.  You may not reverse engineer, de-compile, or disassemble the
  108. SOFTWARE, except and only to the extent that such activity is expressly
  109. permitted by applicable law notwithstanding this limitation. You may not rent,
  110. lease, or lend the SOFTWARE. You may permanently transfer all of your rights
  111. under this EULA, provided the recipient agrees to the terms of this EULA.  You
  112. may not use the SOFTWARE to perform any unauthorized transfer of information
  113. (e.g. transfer of files in violation of a copyright) or for any illegal purpose.

  115. 6. SUPPORT SERVICES. SmartSoft Ltd. may provide you with support services
  116. related to the SOFTWARE. Use of Support Services is governed by SmartSoft
  117. Ltd. polices and programs described in the user manual, in online
  118. documentation, and/or other materials provided by SmartSoft Ltd., as they
  119. may be modified from time to time. Any supplemental SOFTWARE code provided to
  120. you as part of the Support Services shall be considered part of the SOFTWARE and
  121. subject to the terms and conditions of this EULA. With respect to technical
  122. information you provide SmartSoft Ltd. as part of the Support Services, 
  123. SmartSoft Ltd. may use such information for its business purposes, including for
  124. product support and development. SmartSoft Ltd. will not utilize such
  125. technical information in a form that personally identifies you.

  127. 7. TERMINATION. Without prejudice to any other rights, SmartSoft Ltd. may
  128. terminate this EULA if you fail to comply with the terms and conditions of this
  129. EULA. In such event, you must destroy all copies of the SOFTWARE.
  130.  
  131. 8. COPYRIGHT. The SOFTWARE is protected by copyright laws and international
  132. treaty provisions. You acknowledge that no title to the intellectual property in
  133. the SOFTWARE is transferred to you. You further acknowledge that title and full
  134. ownership rights to the SOFTWARE will remain the exclusive property of the
  135. SmartSoft Ltd. and you will not acquire any rights to the SOFTWARE except as
  136. expressly set forth in this license. You agree that any copies of the SOFTWARE
  137. will contain the same proprietary notices which appear on and in the SOFTWARE.

  139. 9. NO WARRANTIES. SmartSoft Ltd. expressly disclaims any warranty for the
  140. SOFTWARE. THE SOFTWARE AND ANY RELATED DOCUMENTATION IS PROVIDED "AS IS" WITHOUT
  141. WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION,
  142. THE IMPLIED WARRANTIES OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR
  143. NON INFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE
  144. SOFTWARE REMAINS WITH YOU.

  146. 10. LIMITATION OF LIABILITY. IN NO EVENT SHALL SMARTSOFT LTD. OR ITS
  147. SUPPLIERS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR
  148. INDIRECT DAMAGES OF ANY KIND ARISING OUT OF THE DELIVERY, PERFORMANCE, OR USE OF
  149. THE SOFTWARE, EVEN IF SMARTSOFT LTD. HAS BEEN ADVISED OF THE POSSIBILITY OF
  150. SUCH DAMAGES. IN ANY EVENT, SMARTSOFT LTD.'S LIABILITY FOR ANY CLAIM,
  151. WHETHER IN CONTRACT, TORT, OR ANY OTHER THEORY OF LIABILITY WILL NOT EXCEED THE
  152. GREATER OF U.S.$1.00 OR LICENSE FEE PAID BY YOU.

  154. 11. MISCELLANEOUS. Should you have any questions concerning this EULA, or if you
  155. desire to contact SmartSoft Ltd. for any reason, please contact by

  159. SmartFTP Privacy Policy

  161. WEB SITE/FORUMS
  162. When you browse our web site, download our software, or participate in our online
  163. forums, your ip address, the time and duration of your visit, the web browser
  164. you are using, and the pages you view are logged.  This information is used to
  165. compile statistical reports about how you use our web site and ultimately used to
  166. improve your browsing experience.  If you choose to register for our forums, a
  167. valid email address is required, but all other information is optional.  Our
  168. forums are moderated, and we reserve the right to remove any post we deem
  169. inappropriate, and any user account being used inappropriately.  The purpose of
  170. our web site and forums is to provide the best support possible to our valued
  171. customers.

  173. SOFTWARE

  175. LICENSED VERSION
  176. If you choose to license products from SmartSoft Ltd., some personal information is 
  177. required to complete the purchase.  Information such as your name/company, address, 
  178. email address and billing information like your credit card number is collected.
  179. All methods of purchase are ssl encrypted and detailed information can be 
  180. obtained from the web site at time of purchase.  Your personal information
  181. is securely stored, and is never given out to anyone, or used by us for 
  182. anything other than a purchase record.

  184. SMARTUPDATE
  185. SmartUpdate is a special feature of products from SmartSoft Ltd. It detects new versions 
  186. and  allows for a convenient method to update the SmartFTP software. When 
  187. SmartUpdate connects to our servers the following information is transmitted: 
  188. Product version, OS version, unique user id, first time start, license key id.
  189.  
  190. FRAUD/PIRACY
  191. We aim to keep your information safe.  Credit card fraud, identity theft and
  192. software piracy will not be tolerated.  We may release any information necessary
  193. to comply with the law, protect our software licenses, and foremost to protect
  194. our valued customers.  We will also work with law enforcement and fraud/credit
  195. agencies to ensure the safety of your information.
